Terms of Service

1. Definitions

In these Terms, the following definitions apply:

• "Client" means any individual or entity that engages Aurum Gateway for the provision of services.
• "Services" means the corporate services provided by Aurum Gateway, including but not limited to company formation, residency and visa processing, banking facilitation, web development, marketing consulting, and management services.
• "Service Agreement" means a specific written agreement, engagement letter, proposal, or invoice accepted by the Client, which sets out the specific scope, fees, and timelines for a particular service.
• "Government Fees" means fees payable to UAE government authorities, free zone regulators, or other official bodies as part of any service.
• "Deliverables" means any documents, designs, strategies, reports, or other outputs produced by Aurum Gateway for the Client.
• "Confidential Information" means all non-public information disclosed by either party in connection with the services.

2. Scope of Services

Aurum Gateway provides the following categories of services to businesses and individuals seeking to establish or operate in the United Arab Emirates:

• Company Setup: Incorporation of free zone, mainland, and offshore entities; trade licence applications; corporate restructuring.
• Residency & Visas: UAE residency visa applications, investor visas, employment visas, UAE Golden Visa applications, visa renewals, and cancellations.
• Banking Solutions: Introduction and facilitation services for opening corporate and personal bank accounts in the UAE and internationally.
• Web Development: Design and development of websites, landing pages, and web applications.
• Marketing Consulting: Digital marketing strategy, SEO, social media management, and branding services.
• Management Services: Registered agent services, nominee director services, virtual office, mail handling, and ongoing corporate compliance.

The specific scope of any engagement will be set out in the relevant Service Agreement. Aurum Gateway reserves the right to refuse any engagement at its sole discretion.

3. Client Engagement and Service Agreements

3.1 A contractual relationship is established when a Client accepts a proposal, engagement letter, or invoice issued by Aurum Gateway, or when a Client makes payment for services.

3.2 All Service Agreements must be confirmed in writing (including by email) before work commences.

3.3 Any changes to the scope of an agreed service must be agreed in writing. Additional scope may be subject to additional fees.

3.4 Aurum Gateway acts as a facilitator and consultant. We do not provide legal advice, tax advice, or financial advice. Clients are encouraged to seek independent professional advice on matters requiring legal, tax, or financial expertise.

4. Client Obligations

The Client agrees to:

• Provide accurate, complete, and up-to-date information and documentation as required for the provision of services.
• Notify Aurum Gateway promptly of any changes to provided information that may affect the services.
• Comply with all applicable UAE laws, regulations, and the requirements of relevant authorities.
• Cooperate in good faith throughout the service engagement, including responding to requests for information or approvals within reasonable timeframes.
• Not use Aurum Gateway's services for any unlawful purpose, including but not limited to fraud, money laundering, tax evasion, or any activity that violates UAE law.
• Ensure that beneficial ownership information provided is accurate and that the Client has the authority to instruct Aurum Gateway on behalf of the relevant entity.

Failure to comply with Client obligations may result in delays, additional costs, or termination of services without refund of fees already incurred.

5. Fees and Payment Terms

5.1 Our service fees are set out in the relevant proposal or engagement letter. All fees are quoted exclusive of Value Added Tax (VAT) unless otherwise stated. UAE VAT will be applied where applicable.

5.2 Unless otherwise agreed in writing, the following payment schedule applies:

• Company formation services: 50% deposit upon engagement; remaining 50% prior to submission of documents to the relevant authority.
• Visa services: 100% of service fees upon engagement, prior to commencement.
• Web development: 50% deposit on project commencement; remaining 50% on delivery.
• Ongoing/retainer services: Monthly in advance unless otherwise agreed.

5.3 Invoices are payable within 7 calendar days of the invoice date unless otherwise specified. Late payments may incur interest at a rate of 2% per month on the outstanding balance.

5.4 Aurum Gateway reserves the right to suspend or terminate services where payment obligations are not met.

6. Accepted Payment Methods

6.1 Aurum Gateway accepts payment by the following methods:

• Bank transfer (SWIFT/IBAN): Details provided on invoice.
• Credit and debit card: Via our secure payment processor.
• Cryptocurrency: We accept payment in major cryptocurrencies including Bitcoin (BTC), Ethereum (ETH), Tether (USDT — ERC-20 and TRC-20), and USD Coin (USDC). Crypto payments are processed at the prevailing exchange rate at the time of payment. Crypto payment details are provided upon request.

6.2 All payments must be made in the currency specified in the invoice. Any bank charges, transaction fees, or conversion costs are the responsibility of the Client.

6.3 For cryptocurrency payments, the Client is responsible for ensuring that the correct wallet address and blockchain network are used. Aurum Gateway accepts no responsibility for funds sent to incorrect addresses.

6.4 Receipt of funds is confirmed only upon final clearance into our accounts. This may take 1–3 business days for bank transfers.

7. Government and Third-Party Fees

7.1 Government fees, free zone authority fees, immigration fees, medical examination fees, and all other fees payable to third parties or regulatory authorities are not included in Aurum Gateway's service fees unless explicitly stated in the Service Agreement.

7.2 Government and third-party fees are subject to change without notice. Any changes to such fees are the responsibility of the Client and will be communicated as soon as reasonably practicable.

7.3 Government fees are collected from the Client prior to submission. These funds are held separately and remitted directly to the relevant authority.

8. Cancellation and Refund Policy

8.1 Client cancellation before commencement: If a Client cancels an engagement prior to any work being commenced or documents being submitted, the deposit is non-refundable where administration costs have been incurred. We will provide a detailed breakdown of costs incurred upon request.

8.2 Client cancellation after commencement: No refund will be given for services already commenced or where documents have been submitted to authorities. The Client remains liable for the full service fee and any outstanding government fees.

8.3 Government application rejections: In the event that an application is rejected by a UAE authority, Aurum Gateway's service fee is non-refundable. Government fees paid directly to authorities are subject to the refund policies of those authorities. We will use reasonable endeavours to appeal rejections where grounds exist.

8.4 Banking rejections: Banking introduction services are on a best-efforts basis. A bank's decision to decline an account application is outside our control, and service fees for banking facilitation are non-refundable.

8.5 Cancellation by Aurum Gateway: Aurum Gateway reserves the right to cancel any engagement at its sole discretion. In such circumstances, we will refund fees paid for services not yet commenced, less any costs incurred.

9. Intellectual Property

9.1 All intellectual property rights in Aurum Gateway's website content, branding, methodologies, templates, and proprietary materials remain the exclusive property of Aurum Gateway Solutions LLC FZ.

9.2 Upon full payment of all fees for web development or design services, Aurum Gateway assigns to the Client all intellectual property rights in the specific Deliverables created for that Client, excluding any third-party components, open-source elements, or Aurum Gateway's pre-existing proprietary frameworks.

9.3 The Client grants Aurum Gateway a non-exclusive licence to use the Client's brand materials and content solely for the purpose of providing the agreed services.

9.4 Aurum Gateway may reference the Client's company name and describe the general nature of services provided in its portfolio or marketing materials, unless the Client expressly requests confidentiality in writing.

10. Confidentiality

10.1 Both parties agree to keep confidential all Confidential Information disclosed by the other party in connection with the services and not to disclose such information to third parties without prior written consent, except as required by law or regulatory obligation.

10.2 Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is disclosed with prior written consent; or (d) is required to be disclosed by law or court order.

10.3 These confidentiality obligations survive the termination of any service engagement for a period of five (5) years.

11. Limitation of Liability

11.1 To the fullest extent permitted by applicable law, Aurum Gateway's total aggregate liability to the Client for any claim arising from or in connection with the services — whether in contract, tort, or otherwise — shall not exceed the total fees paid by the Client to Aurum Gateway in the three (3) months preceding the event giving rise to the claim.

11.2 Aurum Gateway shall not be liable for:

• Indirect, consequential, incidental, or punitive damages;
• Loss of profits, revenue, business opportunity, or data;
• Delays caused by UAE government authorities, banks, or other third parties;
• Changes in UAE laws, regulations, or government policies that affect service delivery;
• Errors or omissions arising from inaccurate or incomplete information provided by the Client;
• Any loss arising from the rejection of an application by a government authority or bank.

11.3 Aurum Gateway does not guarantee the outcome of any government application, visa process, or bank account opening procedure. All such processes are subject to the independent discretion of the relevant authority.

12. Warranties and Disclaimers

12.1 Aurum Gateway warrants that it holds the necessary licences to provide the services described and that services will be performed with reasonable skill and care.

12.2 The Client warrants that all information and documents provided to Aurum Gateway are true, accurate, and complete, and that the Client has full authority to instruct Aurum Gateway.

12.3 Our website is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be error-free, uninterrupted, or free of viruses.

12.4 Content on our website is for general informational purposes only and does not constitute legal, tax, or financial advice.

13. Indemnification

The Client shall indemnify, defend, and hold harmless Aurum Gateway, its officers, employees, and agents from and against any claims, losses, damages, penalties, fines, or expenses (including reasonable legal fees) arising from:

• The Client's breach of these Terms or any Service Agreement;
• The Client's violation of any applicable law or regulation;
• Inaccurate or false information provided by the Client;
• The Client's business activities or use of Deliverables.

14. Termination

14.1 Either party may terminate a Service Agreement by giving written notice if the other party materially breaches the agreement and fails to remedy such breach within 14 days of written notice.

14.2 Aurum Gateway may immediately terminate any engagement and cease services without notice if:

• The Client provides false or misleading information;
• Aurum Gateway reasonably suspects the Client of involvement in fraud, money laundering, or other illegal activity;
• Continuing the engagement would violate applicable law or regulation;
• The Client fails to make payment when due after reasonable notice.

14.3 Upon termination, the Client shall immediately pay all outstanding fees for services rendered to the date of termination. Aurum Gateway's confidentiality and intellectual property obligations survive termination.

15. Force Majeure

Neither party shall be liable for delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond that party's reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, regulatory changes, or disruptions to critical infrastructure. In such circumstances, the affected party shall notify the other promptly and both parties shall use reasonable endeavours to mitigate the impact.

16. Governing Law and Dispute Resolution

16.1 Governing Law: These Terms and all Service Agreements shall be governed by and construed in accordance with the laws of the United Arab Emirates and the laws of the Emirate of Dubai, including the regulations of the Meydan Free Zone where applicable.

16.2 Amicable Resolution: In the event of any dispute, controversy, or claim arising out of or in connection with these Terms or any Service Agreement, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation for a period of thirty (30) days from the date a party provides written notice of the dispute.

16.3 Jurisdiction: If the dispute cannot be resolved amicably, both parties irrevocably submit to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, for resolution of all disputes arising under or in connection with these Terms.

16.4 Alternative Dispute Resolution: By mutual written agreement, the parties may elect to refer any dispute to arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC), with proceedings conducted in English in Dubai.

17. Website Use

17.1 You may access our website for lawful purposes only. You must not:

• Use our website in any way that breaches applicable laws or regulations;
• Transmit unsolicited commercial communications (spam);
• Attempt to gain unauthorised access to our website, server, or database;
• Engage in any conduct that disrupts, damages, or impairs the website's performance;
• Scrape, harvest, or extract data from the website without our prior written consent.

17.2 We reserve the right to restrict access to our website at any time and for any reason without notice.

18. Amendments

Aurum Gateway reserves the right to update or modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or services following publication of updated Terms constitutes your acceptance of the revised Terms. For significant changes affecting existing Service Agreements, we will provide reasonable prior notice.
