These Terms of Service ("Terms") govern your use of the website at aurumgateway.ae (the "Website") and the engagement of services provided by Aurum Gateway Solutions LLC FZ ("Aurum Gateway", "we", "us" or "our"), a company duly licensed in the Meydan Free Zone, Dubai, United Arab Emirates, under license number 2526897.01.
By accessing our Website, submitting an enquiry, or entering into a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website or engage our services.
These Terms should be read alongside our Privacy Policy, which governs how we process your personal data.
In these Terms, the following definitions apply:
Aurum Gateway provides the following categories of services to businesses and individuals seeking to establish or operate in the United Arab Emirates:
The specific scope of any engagement will be set out in the relevant Service Agreement. Aurum Gateway reserves the right to refuse any engagement at its sole discretion.
3.1 A contractual relationship is established when a Client accepts a proposal, engagement letter, or invoice issued by Aurum Gateway, or when a Client makes payment for services.
3.2 All Service Agreements must be confirmed in writing (including by email) before work commences.
3.3 Any changes to the scope of an agreed service must be agreed in writing. Additional scope may be subject to additional fees.
3.4 Aurum Gateway acts as a facilitator and consultant. We do not provide legal advice, tax advice, or financial advice. Clients are encouraged to seek independent professional advice on matters requiring legal, tax, or financial expertise.

Failure to comply with Client obligations may result in delays, additional costs, or termination of services without refund of fees already incurred.
5.1 Our service fees are set out in the relevant proposal or engagement letter. All fees are quoted exclusive of Value Added Tax (VAT) unless otherwise stated. UAE VAT will be applied where applicable.
5.2 Unless otherwise agreed in writing, the following payment schedule applies:
5.3 Invoices are payable within 7 calendar days of the invoice date unless otherwise specified. Late payments may incur interest at a rate of 2% per month on the outstanding balance.
5.4 Aurum Gateway reserves the right to suspend or terminate services where payment obligations are not met.
6.1 Aurum Gateway accepts payment by the following methods:
6.2 All payments must be made in the currency specified in the invoice. Any bank charges, transaction fees, or conversion costs are the responsibility of the Client.
6.3 For cryptocurrency payments, the Client is responsible for ensuring that the correct wallet address and blockchain network are used. Aurum Gateway accepts no responsibility for funds sent to incorrect addresses.
6.4 Receipt of funds is confirmed only upon final clearance into our accounts. This may take 1β3 business days for bank transfers.
7.1 Government fees, free zone authority fees, immigration fees, medical examination fees, and all other fees payable to third parties or regulatory authorities are not included in Aurum Gateway's service fees unless explicitly stated in the Service Agreement.
7.2 Government and third-party fees are subject to change without notice. Any changes to such fees are the responsibility of the Client and will be communicated as soon as reasonably practicable.
7.3 Government fees are collected from the Client prior to submission. These funds are held separately and remitted directly to the relevant authority.
8.1 Client cancellation before commencement: If a Client cancels an engagement prior to any work being commenced or documents being submitted, the deposit is non-refundable where administration costs have been incurred. We will provide a detailed breakdown of costs incurred upon request.
8.2 Client cancellation after commencement: No refund will be given for services already commenced or where documents have been submitted to authorities. The Client remains liable for the full service fee and any outstanding government fees.
8.3 Government application rejections: In the event that an application is rejected by a UAE authority, Aurum Gateway's service fee is non-refundable. Government fees paid directly to authorities are subject to the refund policies of those authorities. We will use reasonable endeavours to appeal rejections where grounds exist.
8.4 Banking rejections: Banking introduction services are on a best-efforts basis. A bank's decision to decline an account application is outside our control, and service fees for banking facilitation are non-refundable.
8.5 Cancellation by Aurum Gateway: Aurum Gateway reserves the right to cancel any engagement at its sole discretion. In such circumstances, we will refund fees paid for services not yet commenced, less any costs incurred.
9.1 All intellectual property rights in Aurum Gateway's website content, branding, methodologies, templates, and proprietary materials remain the exclusive property of Aurum Gateway Solutions LLC FZ.
9.2 Upon full payment of all fees for web development or design services, Aurum Gateway assigns to the Client all intellectual property rights in the specific Deliverables created for that Client, excluding any third-party components, open-source elements, or Aurum Gateway's pre-existing proprietary frameworks.
9.3 The Client grants Aurum Gateway a non-exclusive licence to use the Client's brand materials and content solely for the purpose of providing the agreed services.
9.4 Aurum Gateway may reference the Client's company name and describe the general nature of services provided in its portfolio or marketing materials, unless the Client expressly requests confidentiality in writing.
10.1 Both parties agree to keep confidential all Confidential Information disclosed by the other party in connection with the services and not to disclose such information to third parties without prior written consent, except as required by law or regulatory obligation.
10.2 Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is disclosed with prior written consent; or (d) is required to be disclosed by law or court order.
10.3 These confidentiality obligations survive the termination of any service engagement for a period of five (5) years.
11.1 To the fullest extent permitted by applicable law, Aurum Gateway's total aggregate liability to the Client for any claim arising from or in connection with the services β whether in contract, tort, or otherwise β shall not exceed the total fees paid by the Client to Aurum Gateway in the three (3) months preceding the event giving rise to the claim.
11.2 Aurum Gateway shall not be liable for:
11.3 Aurum Gateway does not guarantee the outcome of any government application, visa process, or bank account opening procedure. All such processes are subject to the independent discretion of the relevant authority.
12.1 Aurum Gateway warrants that it holds the necessary licences to provide the services described and that services will be performed with reasonable skill and care.
12.2 The Client warrants that all information and documents provided to Aurum Gateway are true, accurate, and complete, and that the Client has full authority to instruct Aurum Gateway.
12.3 Our website is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be error-free, uninterrupted, or free of viruses.
12.4 Content on our website is for general informational purposes only and does not constitute legal, tax, or financial advice.
The Client shall indemnify, defend, and hold harmless Aurum Gateway, its officers, employees, and agents from and against any claims, losses, damages, penalties, fines, or expenses (including reasonable legal fees) arising from:
14.1 Either party may terminate a Service Agreement by giving written notice if the other party materially breaches the agreement and fails to remedy such breach within 14 days of written notice.
14.2 Aurum Gateway may immediately terminate any engagement and cease services without notice if:
14.3 Upon termination, the Client shall immediately pay all outstanding fees for services rendered to the date of termination. Aurum Gateway's confidentiality and intellectual property obligations survive termination.
Neither party shall be liable for delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond that party's reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, regulatory changes, or disruptions to critical infrastructure. In such circumstances, the affected party shall notify the other promptly and both parties shall use reasonable endeavours to mitigate the impact.
16.1 Governing Law: These Terms and all Service Agreements shall be governed by and construed in accordance with the laws of the United Arab Emirates and the laws of the Emirate of Dubai, including the regulations of the Meydan Free Zone where applicable.
16.2 Amicable Resolution: In the event of any dispute, controversy, or claim arising out of or in connection with these Terms or any Service Agreement, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation for a period of thirty (30) days from the date a party provides written notice of the dispute.
16.3 Jurisdiction: If the dispute cannot be resolved amicably, both parties irrevocably submit to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, for resolution of all disputes arising under or in connection with these Terms.
16.4 Alternative Dispute Resolution: By mutual written agreement, the parties may elect to refer any dispute to arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC), with proceedings conducted in English in Dubai.

For significant changes affecting existing Service Agreements, we will provide reasonable prior notice.
